These Terms of Service (“Terms”) govern your access to and use of the irxis.net websites and applications, the irxis SaaS product, and irxis equipment (collectively, the “Service”) provided by irxisCO, LLC (“Company,” “we,” “us,” or “our”).

If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

“Account” means the user account created to access the Service.

“Content” means any data, information, or materials you upload, access, or submit to the Service.

“Service” means the SaaS platform and websites operated by the Company.

3. User Accounts

To use certain features of the Service, you must create an Account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your Account credentials.

4. License and Access to Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You may not: (i) copy, modify, or distribute the Service; (ii) copy, modify, or distribute the Service’s data to anyone outside your account or anyone not covered by this Agreement; (iii) reverse engineer the Service; (iv) use the Service for any illegal purpose.

5. Acceptable Use

You agree not to:

  • Use the Service in any way that violates applicable laws;
  • Upload harmful code or content;
  • Interfere with the Service’s operation.

6. Payment Terms

If you subscribe to or purchase paid features, you agree to pay all fees as provided in your billing statement. Subscriptions auto-renew unless canceled, and you may cancel at any time. Refunds anytime during the current month (if paid) are refunded back to the 1st. We may change prices with notice.

7. Intellectual Property

The Service and all its content are owned by the Company or its licensors. You retain ownership of your Content, but grant us a perpetual license to use it as necessary to provide the Service.

8. Data and Privacy

Our Privacy Policy, available at www.irxis.net/privacy, governs the collection and use of your data. Please review it.

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

10. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR DAMAGES EXCEEDING THE AMOUNTS PAID BY YOU IN THE PRECEDING 12 MONTHS, EXCLUDING AMOUNTS PAID FOR HARDWARE.

11. Termination

We may terminate or suspend your access to the Service at our discretion. Upon termination, your rights to use the Service cease and you agree to return all Company equipment.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of laws principles.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance.

14. Miscellaneous

If any provision is invalid, the remainder remains in effect.
These Terms constitute the entire agreement.
